Terms of Service

These Terms of Service ("Terms") govern your access to and use of the Proximity platform and related services (the "Service") provided by Proximity ("we", "us"). By creating an account or using the Service, you agree to be bound by these Terms.
1. Acceptance of Terms
By accessing or using the Service, you confirm that you are at least 18 years old, have the legal capacity to enter into a binding contract, and agree to be bound by these Terms and our Privacy Policy. If you are using the Service on behalf of an organisation, you represent that you have authority to bind that organisation to these Terms.
2. Description of Service
Proximity is a relationship execution platform that helps sales professionals manage and maintain their professional networks through structured calling cadences and contact management. Features may evolve over time. We may modify, suspend, or discontinue parts of the Service at any time, with reasonable notice where practicable.
3. Subscription and Payment
The Service is offered on monthly and annual subscription plans. Fees are charged in advance and are non-refundable except where required by law. Subscriptions automatically renew at the end of each billing period at the then-current rate unless cancelled before the renewal date.
You may cancel your subscription at any time from your account settings. Cancellation takes effect at the end of the current billing period; you retain access until that date. Failure to pay may result in suspension or termination of the Service.
4. Discount Codes
We may issue discount codes from time to time. Codes can be entered at checkout, apply only to the plan and billing period stated when the code is issued, are non-transferable, have no cash value, and cannot be exchanged for a refund. We may modify, withdraw, or refuse to honour codes we reasonably consider fraudulent or abusive.
5. User Data and Contact Information
You are responsible for ensuring that you have appropriate legal basis and, where required, consent to store contact information about third parties within Proximity. You warrant that your use of contact data complies with applicable data protection laws, including the GDPR and the Irish Data Protection Act 2018. We process personal data on your behalf as described in our Privacy Policy and Data Processing Addendum.
6. Acceptable Use
You agree not to:
- use the Service to send unsolicited marketing in breach of applicable laws;
- upload data you do not have the right to process;
- attempt to reverse engineer, scrape, or disrupt the Service;
- use the Service to harass, defraud, or harm others;
- resell or sublicense the Service without our written permission.
7. Intellectual Property
All rights, title, and interest in the Service, including software, design, trademarks, and content provided by us, remain the property of Proximity or its licensors. You retain ownership of the data you input. You grant us a limited licence to host, process, and display your data solely to provide and improve the Service.
8. Limitation of Liability
To the maximum extent permitted by law, Proximity is not liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, revenue, data, or goodwill arising from your use of the Service. Our total aggregate liability under these Terms shall not exceed the fees you paid to us in the twelve months preceding the event giving rise to the claim. Nothing in these Terms excludes liability that cannot lawfully be excluded.
9. Termination
You may terminate your account at any time. We may suspend or terminate your access if you breach these Terms, fail to pay, or use the Service in a manner that risks harm to us or other users. Sections intended to survive termination (including Intellectual Property, Limitation of Liability, and Governing Law) shall continue to apply.
10. Changes to Terms
We may update these Terms from time to time. Material changes will be communicated by email or in-app notice at least 30 days before they take effect. Continued use of the Service after the effective date constitutes acceptance of the updated Terms.
11. Governing Law
These Terms are governed by the laws of the Republic of Ireland. The courts of Ireland shall have exclusive jurisdiction over any disputes arising from or relating to these Terms or the Service.
